  • 1.  FRPTA withholding issues

    I have two FRPTA withholding issues

    1) Does a Delaware LP have to withhold FRPTA on foreign investors if the Delaware LP only invests in non-performing mortgage debt secured by properties located in Spain?

    2) Is withholding required under FRPTA when a US member buys the interest from a foreign member of an LLC when the underlying investment in the LLC is a non-performing mortgage debt on US real property? I know that you have to withhold when the underlying investment is US real property interest but I thought I saw an exemption for investments in financial instruments including mortgages
