    Isn't the Delaware advantage usually in terms of publicly held companies?  Not sure why else Delaware has any advantages.

    I too have had clients in Delaware... infact we just dissolved a partnership in Delaware...

    so here is my question to take it to the next level.
    how do you reincorporate that same name in your local state and have continuity of business and name...

    I am going to post that separately ... look for the question and respond if you are familiar... for it does pertain to losing affiliation with Delaware.

    Abby: I answered under the other thread. You have to be vey careful about planning all of this beforehand, as once you dissolve the entity, you have a taxable event and re establishing the business in another state with the same name is nothing more than a new business. Rob
