  • 1.  Recapitalizing in another state with the same name - how is it done

    I have a client with a NY Corp.  they used to have fixed assets and currently have none. they do $2,000,000 annually of drop shipped business. none in NY.  They moved to Colorado.   He set up a corp in CO with the exact same name. what are the steps for merging the NY operation into the Co entity which is right now dormant.
    there is a large pension and 401K plan in place...

    any help or advice appreciated.

    Abby: Not complicated at all. You can register the corporation as a foreign corporation in Colorado. If they are not doing business in New York anymore, and you want to cut the ties, you can do a type F reorganization and simultaneously re-incorporate in Colorado. I would do a reorganization without an attorney though. Rob
